Acceptance of Terms

Please read these Terms and Conditions very carefully. If you do not agree to any of the provisions in this document, you should not use the website or any of the services it provides. By accessing or using the platform, or by viewing, accessing, uploading, or downloading any information or content from or to the platform, you represent and warrant that you have read and understood these terms, will abide by them and that you are either 18 years of age or more, or you have your parent(s)' or legal guardian(s)' permission to use the platform.

References in these Terms to “we”, “our” or “us” (or similar) are references to ISAW. References to “user” or “you” (or similar) are references to you as an individual or legal entity as the case may be.

Definitions

Defined terms used herein shall have the following meanings.

• (“Client") means an interested party in buying a Dream-Idea, someone like filmmaker, character designers, novel writers, etc.
• (“Dream”) means a dream story occurred during Dreamer sleep and is posted, uploaded, sent or submitted by Dreamer on/to ISAW.
• (“Dreamer”) means a person who has a true and genuine dream story that occurred to him during his sleep.
• (“Dream-Idea Purchased Price“) means the Dream-Idea price determined and set by ISAW.
• (“Dream-Idea”) means an edited version by ISAW of a Dream content.
• (“ISAW”) means this Site (https://isaw-content.com) in English and (https://isaw-content.com/ar/) in Arabic, platform and trademark No. (1444017472) owned by Ms. NEJOUD IBRAHIM MOHAMMED ALHUMAIDAN, Saudi National, operating under Freelancing Practitioner Certificate No. (FL-4049875), grated by Ministry of Human Resources and Social Development in the Kingdom of Saudi Arabia.
• (“Preview”) means a brief of particular Dream-Idea issued by ISAW and presented to Clients to decide if they are interested in buying Dream-Idea or not.
• (“Preview Order”) means the order Client makes to receive 4 Previews. ISAW charges 200 SAR, excluding VAT, as an administrative fee per 4 Previews.
• (“Purchase Oder”) means the order Client makes to buy one or more Dream-Idea/s.

Sharing a Dream

By posting, uploading, sending, or submitting a Dream, you fully, irrevocably agree and consent to the followings:

• The Dream is true and genuine and that it occurred to you during your sleep.
• The Dream wasn't copied or owned by any other parties than yourself.
• The Dream content does not infringe any third party’s properties or rights of privacy.
• Once Dream is posted, uploaded, shared, sent or submitted to us, the full, complete, absolute and exclusive Intellectual Property rights, including without limited to, Copyrights, of the Dream, the Dream-Idea and the Preview will automatically be transferred and waived in favour of ISAW.
• You will defend and hold harmless ISAW from any and all lawsuits, claims, demands, liability, causes of action, loss, injury, and/or damage of any kind whatsoever brought by anyone or imposed by any court, arising out of, in any way whatsoever, any infringement of third party’s properties rights, omissions, act, misuse, negligence, or wilful misconduct by you, your officers, personal, owners, agents, or employees.
• ISAW preserves the full rights to own, edit, review, present, set prices, and sell any posted, uploaded, sent or submitted Dream by you.
• We do not guarantee to sell any Dream-Idea.
• You will not post, upload, send or submit to any Dream content that violates any kind of local or international laws, and in case of any violations, you will assume full responsibility, and ISAW will not be held responsible at any time or by any means. ISAW at its sole and absolute discretion has the exclusive right to determined and set the Dream-Idea Purchased Price for any particular Dream-Idea in any way it believes is appropriate.
• To provide your correct contact, email and banking information.
• ISAW will share Preview/s with interested Client/s, on demand. If Client/s shows interest in buying Dream-Idea, he will then be requested to pay the Dream-Idea Purchased Price in one payment. Once the payment is receipt, Dreamer will then receive not more than 25% of the Dream-Idea Purchased Price, excluding VAT, within 15 days.

Buying a Dream

By buying a Dream-Idea, you fully, irrevocably agree and consent to the followings:

• The provided Dreams, Dream-Ideas and Previews are genuinely inspired by Dreamers.
• You will defend and hold harmless ISAW from any and all lawsuits, claims, demands, liability, causes of action, loss, injury, and/or damage of any kind whatsoever brought by anyone or imposed by any court, arising out of, in any way whatsoever, any infringement of third party’s properties rights, omissions, act, misuse of the Dream-Idea, negligence, or wilful misconduct by you, your officers, personal, owners, agents, or employees.
• Providing the correct contact details, email address and banking information is your responsibility. Failure to do so will lead to a delay in processing your order or never being delivered.
• Prices are fixed, and all sales are final. You cannot cancel a Preview Order nor Purchase Order once made. NO cancelation policy is provided.
• You will never under any circumstances use, share or benefit from a Preview.
• You acknowledge and undertake that that ISAW solely, absolutely and exclusively own and hold the complete and full rights of all Intellectual Property, including but not limited to Copyright, of the Dream, the Dream-Idea and the Preview. You will not acquire any Intellectual Property rights until you fully paid the Dream-Idea Purchased Price and received a clear waving rights statement from us.
• You should always provide clear briefings on the project you seek, fill all the data required on the BUY page, to ensure that we can provide you with relevant Previews, to our best ability.
• We do not guarantee that the Previews we will be providing to be of relevance to your sought project, up to your expectations or meets your objectives.
• ISAW will share Preview/s with interested Client/s, on demand. If Client/s shows interest in buying Dream-Idea, he will then be requested to pay the Dream-Idea Purchased Price in one payment. Once the payment is receipt, Dreamer will then receive not more than 25% of the Dream-Idea Purchased Price, excluding VAT, within 15 days.
• ISAW has the right to share same Preview/s with multiple Clients. Dream-Idea/s are offered on "first-come, first-serve" basis.

Access and use of this Site

• Access to this Site and the services, content and materials made available through it is permitted on a temporary basis. We may suspend, withdraw, discontinue or change all or any part of the Site without notice to you.
• You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs, bots, keyloggers, rootkits, spyware, malware or any other material which is malicious, has a deleterious effect, is technologically harmful or is otherwise designed to provide you or any third party with unauthorised access to this Site, our servers or any other third party’s server, device or information. You must not attempt to gain unauthorised access to this Site, the server on which this Site is stored or any server, device or information. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack. In case of you violates any of the provisions of this condition, we shall have the right to seek liquidated damages and compensation of actual losses.

Uploading content to this Site

• You agree and take full responsibility not to submit or upload any content:
  a) that you do not own or do not have the permission of the owner or any other relevant person who may have rights in or connected to the content you are uploading; or
  b) if submitting it to this Site would infringe the intellectual property rights or any other rights of another person.
• You agree that we shall have the perpetual, royalty-free and worldwide right to copy, store, distribute, adapt, communicate it to the public, publicly perform, and use Your Content for any purpose in connection with the operation or exploitation of this Site or any of the services, content or materials made available through it.
• The views expressed by other users on this Site do not represent our views or values. We will not be responsible, or liable to you or any third party, for any content posted by you or any other user of this Site.
• We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to this Site constitutes a violation of their intellectual property rights, right to privacy or publicity, is defamatory of them, or otherwise infringes any of their other legal rights.
• We do not actively monitor the content that users of this Site upload into this Site. We do not therefore accept or take any responsibility or liability for any such content on this Site.

Notice and takedown procedure

• If you become aware that any other member of this Site has posted content which does not comply with any of the provisions of these Terms, you may notify us by contacting us at: (info@isaw-content.com) and providing us with adequate details of the Disputed Content in question and where it is located on this Site. We will act in dealing with the Disputed Content in question following our receipt of your notice.
• We have the right to remove Your Content at any time for any reason and without notice in our sole discretion.
• For the avoidance of doubt, any decision we make in connection with the removal or disablement of any content from this Site is final and we accept no liability to you in respect of any such decision.

Intellectual property rights

• We are the owner or the licensee of all intellectual property rights in this Site and in any services, content and materials that are made available through it, including, but not limited to, any dream or content you posted, uploaded, shared, sent or submitted to us.
• You may print off, and copy extracts of, any of the content or materials made available through this Site, for any non-commercial or personal use or as otherwise expressly permitted by any copyright exceptions that are available to you under applicable law.
• You must not use any of the services, content or materials made available through this Site for any commercial purpose without first obtaining a licence to do so from us.
• If you copy or use any part of this Site or any of the services, content or materials made available through it in breach of these Terms, your right to use this Site will cease immediately and you must, at our option, return or destroy any copies that you have made of this Site or any of the services, content or materials made available through it.

• Except as expressly provided in these Terms, this Site and any services, content and materials made available through it are provided on an "as is" basis. We do not make any representation or warranty of any kind, either express or implied (whether by common law, custom, statute or otherwise) in relation to this Site or any services, content or materials made available through it including, without limitation, any warranties in relation to fitness for a particular purpose or in relation to quality, completeness, accuracy, reliability or non-infringement.

• If we decide not to exercise or enforce any right that we have against you at a particular time, then this does not prevent us from later deciding to exercise or enforce that right.
• If you breach or violate any of the provisions of these Terms and Conditions or failed to perform any of your obligations herein, you will indemnify and hold harmless ISAW from all claims, losses, causes of action, damage, lawsuits, arising out of such breach or violation.
• In case of you violates any of the provisions of this condition, we shall have the right to seek liquidated damages and compensation of actual losses.
• These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with Saudi Law and you agree to submit to the non-exclusive jurisdiction of the Saudi relevant courts.

Changes to these Terms

• ISAW reserve the right to change, alter, replace or otherwise modify these Terms and Conditions at any time. We recommend that user periodically check this page for changes.
